On February 21, 2024, pursuant to the Purchase and Sponsor Handover Agreement, by and among EVe Mobility Acquisition Corp (the "Issuer"), EVe Mobility Sponsor LLC (the "Sponsor") and Blufire Capital Limited (the "New Sponsor"), the Sponsor transferred 6,320,667 Class A ordinary shares, par value $0.0001 per share, of the Issuer ("Class A Ordinary Shares") to the New Sponsor in exchange for the New Sponsor assuming certain liabilities of the Issuer and the Sponsor, including costs and expenses incurred by the Issuer and the Sponsor in the ordinary course of business or in connection with the transactions contemplated by the Purchase and Sponsor Handover Agreement, as more fully described in the Issuer's Current Report on Form 8-K filed with the Securities and Exchange Commission (the "SEC") on February 22, 2024.

The Sponsor is the record holder of the Class A Ordinary Shares reported herein. On September 29, 2023, each of Scott Painter and Maximilian Staedtler tendered a letter of resignation and, effective as of October 10, 2023, resigned as manager of the Sponsor resulting in Kash Sheikh serving as sole manager of the Sponsor. As sole manager of the Sponsor, Kash Sheikh has voting and investment discretion of the Class A Ordinary Shares held by the Sponsor, and accordingly may be deemed to have beneficial ownership of such shares as more fully described in Mr. Sheikh's Schedule 13D, filed with the SEC on October 10, 2023.
