This form is being made to disclose the transfer of shares from TDK Cashflow Ltd. to Hamble International Inc. The transfer was made without consideration. Further, as sole shareholder of both TDK Cashflow Ltd. and Hamble International Inc., Mr. Koverko will remain the indirect beneficial holder of Vertical Data's common shares.
