F1

The sale reported on this Form 4 represents shares sold by the Reporting Person to cover tax withholding obligations in connection with the vesting and settlement of Restricted Stock Units ("RSUs"). The sale is mandated by the Issuer's election to require the satisfaction of tax withholding obligations to be funded by a "sell to cover" transaction and does not represent a discretionary transaction by the Reporting Person.

F2

This transaction was executed in multiple trades at prices ranging from $9.88 to $10.05. The price reported above reflects the weighted average sale price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.

Referenced by the price of 1 transaction in Table I.

F3

On March 10, 2023, the Reporting Person filed a Form 4 which inadvertently reported that 24,446 shares were sold by the Reporting Person to cover tax withholding obligations in connection with the vesting and settlement of RSUs. In fact, the number of shares sold was 23,670, as reflected in this Form 4/A. The total number of shares reported in Column 5 reflects adjustments for subsequent transactions and is the total owned by the Reporting Person as of February 20, 2025.
