Footnotes and remarks

Livermore keeps the footnotes that transaction prices refer to, all footnotes of amendments (Form 4/A) and the filing's remarks. Other footnotes, such as how indirect holdings are held or the details of a trading plan, are only in the original on SEC EDGAR.

F1

The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person.

F2

The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $17.14 to $18.00, inclusive. The reporting person undertakes to provide to Laird Superfood, Inc., any security holder of Laird Superfood, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range.

Referenced by the price of 1 transaction in Table I.

Remarks

This amendment is being filed to correct the number of shares beneficially owned by the reporting person. As the result of a data entry error, the number of shares beneficially owned by the reporting person was inadvertently overstated by 22,853 shares beginning with the Form 4 filed on April 19, 2021 and in each subsequent Form 4.
