Explanatory Note: Previously, the reporting person voluntarily reported shares held by the Chesapeake Power Foundation as indirectly held by him due to his voting control over the foundation. The Chesapeake Power Foundation is organized as a 501(c)(3) charitable foundation and the reporting person does not have a pecuniary interest in the shares owned by the foundation. Further, the reporting person no longer has voting control of the foundation. As a result, the reporting person will no longer report shares owned by the foundation for the purposes of Section 16.
