On January 17, 2024, Sharing Services Global Corporation (the "Issuer") entered into a Convertible Promissory Note promising to pay Alset Inc., a Texas corporation, $250,000.00. All amounts due under the Convertible Promissory Note may be converted into the common stock of the Issuer at the discretion of the holder. The conversion price shall be equal to the average closing market price for the Issuer's common stock for the three (3) trading days prior to the date of the conversion notice.
