On July 29, 2026, Newmark Group, Inc. (the "Company") repurchased an aggregate of 300,000 shares of its Class A common stock, par value $0.01 per share ("Class A Common Stock") beneficially owned by the reporting person. The sale price per share was the closing price per share of a share of the Class A Common Stock on the Nasdaq Global Select Market on July 29, 2026. The transaction was approved by the Audit Committee and Compensation Committee of the Company pursuant to the Company's stock buyback authorization and is exempt pursuant to Rule 16b-3 under the Securities Exchange Act of 1934, as amended. The shares were held by the Gosin Family Foundation and the proceeds are expected to be used for the foundation's charitable purposes.
