Under the Business Combination Agreement, dated May 27, 2025, among Signing Day Sports, Inc., One Blockchain LLC, BlockchAIn Digital Infrastructure, Inc. (now AIB Data Centers Inc.) (the "Registrant"), BCDI Merger Sub I Inc. and BCDI Merger Sub II LLC, as amended, on August 31, 2026, Tiger Cloud LLC and VCV Digital Solutions LLC received 80,777 and 59,890 shares, respectively, of the Registrant's common stock, as fractional share adjustments. The shares had an aggregate market value of approximately $160,360, based on the last reported sale price on NYSE American on the issuance. Jerry Tang has voting and investment discretion over the shares held by both entities.
