The reported Class A Ordinary Shares and warrants were purchased by ALSP Orchid Sponsor LLC in connection with a private placement offering of the Issuer. ASLP Orchid Sponsor LLC paid $10.00 for each private placement unit purchased. Each private placement unit consisted of one Class A Ordinary Share of the Issuer and one half of one warrant, with each whole warrant entitling the holder to purchase one Class A Ordinary Share at $11.50 per share.
