F1

On July 12, 2024, the reporting person filed a Form 4 to report open market purchases of Issuer common stock that occurred on three trading days. The original Form 4 inadvertently reported the wrong number of shares purchased, and this amendment is being filed to correctly report the number of shares purchased each day (and the number of shares beneficially owned following such transactions).

F2

The reporting person effected multiple same-way open market purchase transactions on the same day at different prices through a purchase order executed by a broker-dealer. The reporting person reported on a single line all such transactions that occurred within a one dollar price range. The reporting person hereby undertakes to provide upon request by the SEC staff, the issuer, or a shareholder of the issuer, full information regarding the number of shares purchased at each separate price.

Referenced by the price of 3 transactions in Table I.

F3

Reflects the weighted average purchase price. The range of prices for such transaction is between $18.50 and $19.25.

Referenced by the price of 1 transaction in Table I.

F4

Reflects the weighted average purchase price. The range of prices for such transaction is between $18.90 and $19.15.
