Mr. Fortig is the sole member of AXIOS EQT LLC, the sole general partner of AXIOS Sponsor LP. Mr. Fortig disclaims beneficial ownership of the securities owned by AXIOS Sponsor LP, except to the extent of his pecuniary interest therein.
