Pursuant to an underwriting agreement and in connection with the registered public offering of shares of the Issuer's Common Stock, pursuant to a final prospectus dated September 14, 2021, which offering was consummated on September 17, 2021, the Funds (as defined below) sold an aggregate of 1,870,089 shares of Common Stock.
